Terms of Service

1. The agreement

These terms govern your subscription to Vansight and your use of the lists we send. By subscribing, or by using a list we sent to your company, you accept these terms on behalf of the company you work for. "Vansight," "we," and "us" mean Vansight; "you" means the subscribing company and the people it shares the list with.

2. What the service is

Vansight is a subscription lead list of restaurants opening soon in a named metro, compiled from public government records such as building permits, liquor license applications, food service license applications, and new business filings. We merge those filings into one lead per restaurant and send the list on a recurring schedule, along with an always-current spreadsheet. Leads marked verified have been checked against state licensing records before we send them. The early-signal scouting list contains earlier, unconfirmed leads and is always labeled so the two never blend.

3. The data is provided as is

Everything we send is compiled from public government records. Public records contain errors, arrive late, and describe plans that change: a project can stall, move, change names, or turn out not to be a real new opening at all, such as a ghost kitchen, a relocation, or an ownership change. The service and every lead in it are provided as is and as available, without any warranty of accuracy, completeness, timeliness, or fitness for a particular purpose. The accuracy credit in section 6 is your sole and exclusive remedy for a lead that turns out to be wrong.

4. Prohibited uses

• Vansight is not a consumer reporting agency, and nothing we send is a consumer report. You may not use the service, or any data in it, for any purpose regulated by the Fair Credit Reporting Act, including determining any person's eligibility for credit, employment, housing or tenancy, or insurance.
• You may not resell, license, publish, or redistribute the lists or any part of them outside your company, and you may not share access with anyone outside your company.
• You are responsible for making sure your own outreach to leads complies with applicable law, including CAN-SPAM and telemarketing rules.

5. Seats, billing, and cancellation

• A seat covers one company's use of the list in one metro, for that company's local team. You may share it with unlimited people inside your company at that local operation; distribution outside your company is prohibited under section 4.
• We sell at most 3 standard seats per industry per metro, and the cap is permanent.
• The service is a monthly subscription billed through Stripe at the price presented at signup. Where a founding rate applies, it is $99 per month for your first 12 months and a permanent $149 per month after that; the step is disclosed at signup and takes effect at month 13.
• Cancel anytime, and on request we will refund the current month. There is no pause: cancelling frees your seat, which may be offered to the next company in line, and rejoining later is at then-current rates.
• If your payment fails we will retry it for a period. If it cannot be collected, the subscription cancels, delivery stops, and the seat frees.

6. Accuracy credit

If a lead we sent as verified turns out not to be a real new opening, tell us. We will credit one month at your current rate to your account. This credit is the sole and exclusive remedy for errors in the data.

7. Limitation of liability

To the fullest extent the law allows, our total liability arising out of or relating to the service is capped at the fees you paid us in the 12 months before the claim arose, and we are not liable for indirect, incidental, consequential, or lost-profit damages.

8. Changes

We may update these terms by posting the new version at this page and, for material changes, notifying subscribers by email. Changes take effect on the date stated in the notice, and continued use of the service after that date is acceptance of the new terms.

9. Governing law

These terms are governed by the laws of the State of Florida. Any dispute arising out of or relating to the service will be brought exclusively in the state or federal courts located in Florida.
